This agreement (“Agreement”) is entered into between the customer (“Customer”) and Conagri Group Ltd (“Company”) for the purchase of machinery, parts, and services. By accepting this Agreement, the Customer agrees to be bound by the terms and conditions set forth below.

1. Interpretation

The following definitions apply in these terms and conditions:

• “Company” refers to Conagri Group Ltd.
• “Customer” refers to the person or entity who buys or agrees to buy the Goods from the Company.
• “Goods” refers to the agricultural and construction machinery, parts, or equipment set out in the Order.

2. Basis of Sale & Entire Agreement

These Terms constitute the entire understanding between the parties and supersede all prior agreements, whether oral or written. The Customer acknowledges that they have not relied on any statement, promise, representation, assurance, or warranty made or given by or on behalf of the Company which is not set out in these Terms.

Any amendments or modifications to this Agreement must be made in writing and signed by both parties.

3. Price and Payment

• The price of the Goods shall be the Company’s quoted price. All prices quoted are valid for 30 days only.
• Unless otherwise agreed in writing, all prices are given by the Company on an ex-works basis.
• The price is exclusive of any applicable Value Added Tax (VAT), which the Customer shall be additionally liable to pay.
• Deposits: For specific promotional packages, a deposit of 10% is payable upon order.

4. Finance Packages & Promotional Offers

We occasionally offer specific promotional packages subject to finance application and approval. Standard terms for these agreements (unless otherwise stated) are:

• Term: The term of the Agreement is typically for a period of 5 years from the date of acceptance.
• Eligibility: Subject to finance application and approval.
• Promotional Packages: Specific promotional packages involving machinery combinations may be available from time to time. Details of included equipment will be specified in the relevant quote or invoice.

5. Delivery and Installation

The Company shall deliver and install the Package at a location specified by the Customer, subject to mutual agreement. Delivery dates mentioned in any quotation are approximate only and not of any contractual effect.

For international sales via our 3i Equipment division, delivery terms will be governed by Incoterms® 2020 as specified in the sales invoice.

6. Ownership and Risk

Ownership: Ownership of the Package shall transfer to the Customer upon full payment of the package price and VAT.

Risk: Risk of loss or damage to the Package shall pass to the Customer upon delivery.

7. Warranties

Machinery is sold with the benefit of the manufacturer’s warranty. The terms and duration of such warranties vary by manufacturer and product line.

Please refer to your specific sales documentation or manufacturer manual for the exact warranty period applicable to your equipment.

Used or “Pre-owned” equipment is sold “as seen” unless otherwise stated in the sales invoice.

8. Maintenance and Service

The Customer is responsible for the regular maintenance and servicing of the Package in accordance with the manufacturer’s guidelines. Failure to adhere to maintenance schedules may invalidate warranties.

9. Limitation of Liability

The Company shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the use or performance of the Package. The Company’s total liability shall in no circumstances exceed the price of the Goods.

10. Termination

Either party may terminate this Agreement with written notice in the event of a material breach by the other party.

11. Returns and Cancellations

Orders for bespoke or specially ordered machinery cannot be cancelled once accepted by the Company. Stock items may be returned at the Company’s discretion, subject to a restocking fee.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England & Wales.
